Meet Alternative Investing's Slick New King, Billionaire Nick Schorsch

Nicholas Schorsch strides into the Grand Ballroom of New York's Waldorf Astoria, clad in a dark suit, a red lanyard dangling from his neck. Despite the bags under his eyes–he's been up most of the night–he has the swagger of an industry titan. Schorsch is chairman or chief executive of over a dozen different companies, including a $19 billion enterprise-value publicly traded REIT, American Realty Capital Properties American Realty Capital Properties (ARCP). It's REITWeek, the most important annual gathering in the $1 trillion commercial real estate investment trust industry. According to his p.r. person Schorsch isn't scheduled to present today, but he can't help but grab center stage, delivering the first half of ARCP's talk to investors and analysts.

Road shows are Nick Schorsch's forte. Since 2008 he has raised more than $17 billion for his companies: 17 nontraded REITs, a business development corporation and an energy fund. In the last 15 months alone companies he controls have engaged in 12 transactions amounting to more than $35 billion worth of mergers and acquisitions.

To legions of financial advisors and their clients, Schorsch is the messiah of high yield. Virtually all of his specially structured real estate trusts aren't listed on any public exchange or followed by analysts, yet they are adored by mom-and-pop investors because they generate income at an average of 7%.

Schorsch's first, American Realty Capital Trust, merged with publicly traded Realty Income in January 2013, clinching a 49% total return over four years. Two of his other nontraded REITs, ARCT III and ARCT IV, merged into ARCP (the public company he runs), gaining 40% and 33%, respectively.

"It's more important to help the little guys than help big institutions or hedge funds," says Schorsch, 53, whose eye is riveted toward what he calls the mass affluent–investors with from $100,000 to $1 million in investable assets.

But Schorsch isn't waiting for the mass affluent to discover him. Through a blizzard of acquisitions, he has built the second-largest independent financial advisory operation in the nation, with 9,200 brokers. His now fully integrated operation manufactures nontraded, high-yielding REITs, provides research and advisory services to them, and controls a vast network of financial advisors who peddle them.

Alternative investments are all the rage, and income products are in hot demand. By FORBES' estimate Schorsch's ample fee income–including as much as 1% annually on the $35 billion in his nontraded REITs–plus ownership stakes in the companies he controls gives him a net worth of $1.5 billion.

Schorsch has long been driven to succeed. At high school in Philadelphia, his senior project was revamping a division of his father's metals fabrication business with his older brother Peter, then 21. Schorsch ran the plants; Peter was the front man in charge of marketing and business development. Schorsch dropped out of college but continued to read voraciously about business. By 23 he was on to another company, Thermal Reduction. It made 16 kinds of protective anodes when Schorsch started out. When he sold it a decade later in 1994 for just over $10 million, Thermal Reduction made 1,200 different anodes.

Having made a few million dollars by 34, Schorsch tried to retire. He bought a horse and a Porsche Porsche. He joined a few boards. But he wasn't happy. "I started bossing the dog around," he says. So he and his wife, Shelley, decided to create an M&A practice.

They started out buying what he describes as "durable" small businesses: a cemetery, a funeral home, glue factories, printers, a company that makes the shrink-wrap that seals plastic bottles and caps on Tylenol. Then, in 1998, he got a tip from his banker that First Union Bank had just purchased CoreStates Financial and was going to close 105 branches. Schorsch offered to buy them all. He was able to close the $22.3 million deal in 37 days and within a year had leased out all the branches–to other banks.

His big-league break came in 2002, when he met Lew Ranieri, the former Salomon Bros. trader made famous in Michael Lewis' Liar's Poker for inventing the mortgage-backed securities business. The men agreed to turn Schorsch's bank-branch real estate into a REIT and take it public. With Ranieri's connections, they raised about $400 million from private investors in 2002 and another $804 million from the REIT's IPO on the New York Stock Exchange in June 2003. American Financial Realty Trust (ticker: AFR) was soon a prominent, $2 billion market cap specialty REIT and the only one focused exclusively on real estate for financial institutions.

Schorsch went on an acquisition binge, buying assets in bulk at a discount–not just banks but office buildings and data and call centers–intending to sell off less desirable sites. But the sales didn't come as fast as he had planned, and investors questioned his get-big-fast strategy. With some properties struggling to fill leases, liquidity issues began to plague AFR. In August 2006 Schorsch was forced out.

"It was my baby," he recalls. "I had built the company."

After Schorsch's departure AFR continued to spiral, and ultimately in the fall of 2007 Gramercy Capital Corp. (a subsidiary of SL Green) acquired it for $1.1 billion. Shareholders who had paid $12.50 in Schorsch's IPO received about $8.43 in cash and stock. Over the same period Morgan Stanley's Morgan Stanley's REIT index climbed 94%.

But Schorsch was on to his next gig, with former AFR board member Bill Kahane as a partner. They hatched a new way to get rich fast, the "nontraded" REIT: opaque and illiquid real estate holding companies that throw off ample dividends. Like public REITs these securities must pay out at least 90% of their income to shareholders, so the yields would be high. The difference, however, comes in the fees and commissions they charge. The fine print on nontraded REITs reveals commissions to advisors of 7% to 10%, versus 1% to 3% or less on traded REITs or real estate ETFs. Another 3% or so goes to REIT wholesalers (controlled by Schorsch). All told nontraded REITs carry extraordinary fees of 10% to 15%.

Another problem is liquidity; often there's no easy way out of these REITs. A 2012 analysis by Green Street Advisors showed that only 40% of nontraded REITs could be freely redeemed. (Schorsch has won over financial advisors by diminishing fees and inventing scheduled liquidity events in which holders have the opportunity to sell shares back to the company.)

Hot Sliver Companies For 2015: Matador Resources Co (MTDR)

Matador Resources Company is an independent energy company engaged in the exploration, development, production and acquisition of oil and natural gas resources in the United States, with an emphasis on oil and natural gas shale and other unconventional plays. Its operations are focused primarily on the oil and liquids-rich portion of the Eagle Ford shale play in South Texas and the Wolfcamp and Bone Spring plays in the Permian Basin in Southeast New Mexico and West Texas. The Company also operates in the Haynesville shale and Cotton Valley plays in Northwest Louisiana and East Texas. In addition, it has a large exploratory leasehold position in Southwest Wyoming and adjacent areas of Utah and Idaho where it is testing the Meade Peak shale.

As of December 31, 2012, the Company owned a 100% working interest in approximately 26,900 gross acres and 24,100 net acres in Gonzales, Karnes, LaSalle, Wilson and Zavala Counties and a 50% working interest in approximately 2,800 gross and 1,400 net acres in DeWitt County and are the operator of this acreage. It also owns an approximate 21% working interest in approximately 12,800 gross acres in Atascosa County operated by EOG Resources, Inc.

South Texas

The Company focuses on the exploration and development of its Eagle Ford shale properties in South Texas. During 2012, the Company completed and began producing oil and natural gas from 28 gross/24.5 net operated Eagle Ford shale wells, including 25 gross/23.7 net operated and 3 gross/0.8 net non-operated Eagle Ford shale wells. During 2012, 43% of its daily production, or 3,908 barrels of oil equivalent (BOE) per day, including 3,246 one stock tank barrel (Bbl) of oil per day and 4.0 one million cubic feet of natural gas (MMcf) of natural gas per day, was produced from the Eagle Ford shale in South Texas. During 2012, the Company drilled and completed a total of 32 gross/30.5 net Eagle Ford wells on its operated properties. As of December 31, 2012, its aggregate leasehold int! erests consisted of approximately 42,500 gross acres and 27,900 net acres in the Eagle Ford shale play in Atascosa, DeWitt, Gonzales, Karnes, LaSalle, Wilson and Zavala Counties in South Texas.

Northwest Louisiana and East Texas

During 2012, bout 56% of its average daily production, or 5,042 BOE per day, including 31 Bbl of oil per day and 30.1 MMcf of natural gas per day, was from its leasehold interests in Northwest Louisiana and East Texas. For the year ended December 31, 2012, about 76% of its daily natural gas production, or 26.0 MMcf of natural gas per day, was produced from the Haynesville shale, with another 12%, or 4.1 MMcf of natural gas per day, produced from the Cotton Valley and other shallower formations in this area. As of December 31, 2012, the Company had leasehold and mineral interests in approximately 22,300 gross and 14,200 net acres prospective for the Haynesville shale.

Sugar and Ethanol segment

As of March 31, 2011 the Company leased 437,698 hectares, through 2,128 land lease contracts with an average term of five years. During fiscal 2011,! it harvested from owned or leased lands 27.4 million tons, of the sugarcane and purchased from third-party growers the 26.8 million tons of sugarcane. During fiscal 2011, its accumulated sugar extraction was 139.0 kilograms of total sugar recovered (TSR) per ton of sugarcane and its agricultural yield was 91.4 tons of sugarcane per hectare. It produces ethanol through a chemical process called yeasting. It produces and sells three types of ethanol: hydrous ethanol and anhydrous ethanol for fuel and industrial ethanol. It sells ethanol through gasoline distributors in Brazil mainly at the mill that sell it to retailers that then sell it at the pump to customers.

During fiscal year 2011, the Company sold 4.3 million tons of sugar. The Company produces a range of standard sugars, including raw sugar, crystal sugar and organic sugar, and refined sugars, including granulated refined white sugar, amorphous refined sugar, refined sucrose liquid sugar and refined inverted liquid sugar. Its Sao Francisco mill and the Da Barra mill produce refined sugar. It also sells industrial alcohol, which is used in the chemical and pharmaceutical sectors. It sells sugar to a range of customers in Brazil and in the international markets. Its customers in Brazil include retail supermarkets, foodservice distributors and food manufacturers, for which it sells refined and liquid sugar.

Fuel distribution and lubricants

The Company�� fuel distribution business is engaged in sourcing, storing, blending and distributing primarily gasoline, ethanol, diesel and fuel oil through its retail network of approximately 4,500 Esso and Shell-branded stations. During fiscal 2011, it sold approximately 1.03 billion liters of fuels, consisting of 96.0% diesel and 4.0% gasoline, ethanol and other fuels to its industrial and wholesale clients. During fiscal 2011, Cosan Combustiveise Lubrificantes S.A. (CCL) sold a total of 166.4 million liters of lubricants. Its lubricant operations consist of a wholly o! wned Lubr! icants Oil Blending Plant (LOBP), located in Rio de Janeiro, with annual production capacity of 1.4 million barrels of lubricants per year, including 48,000 barrels of grease per year.

Sugar Logistics

The Company owns and operates a sugar-loading terminal at the Port of Santos in the State of Sao Paulo through its subsidiary Rumo Logistica. It offers logistics solution to sugar producers located in the Center South of Brazil by transporting sugar from the mill by truck or rail to be loaded at its bulk sugar port terminal in Santos. It also offer sugar storage services.

The Company competes with Copersucar, Sudzucker AG, Petrobras, Ultrapar S.A., Shell Brasil Ltda. and AleSat Combustiveis S.A.

    Lesson learned
    The financial situation at Amyris is less than enviable. Whereas fellow industrial biotech company Solazyme has hit every major milestone and had no problem raising funds, Amyris has had to take the more dilutive route for shareholders. Still, large commercial partners Total (NYSE: TOT  ) and Cosan (NYSE: CZZ  ) haven't backed down in their support of the company. Total upped its investment in Amyris during several rough patches in the past year after incurring significant paper losses on the roughly 20% stake in the company. Total even has its own webpage for the partnership, which speaks to its long-term vision for Amyris' platform, especially in renewable diesel.

    We expect Caledonia to generate close to $600M in EBITDA. While RIGs mid-water OPEX has averaged about $125k/d we expect it to be lower at Caledonia. 2015 Consensus EBITDA for RIG is ~$3B which means 20% of RIGs 2015 EBITDA comes from the rigs that will become Caledonia. The problem (in a bear market) is that companies with lower end rigs trade at a discount ��just ask Awilco (AWLCF), Fred Olsen Energy, and Paragon Offshore (PGN) which trade at an average multiple of 3.3x on 2015 EBITDA versus RIG which trades at 6.3x.

NEW YORK (CNNMoney) An online marketplace where doctors can bid for medical procedures ranging from tummy tucks to hip replacements is experiencing big growth as Americans worry about rising health care costs.

The site, MediBid, was launched in 2010 by Ralph Weber, who likens it to a Priceline.com for medical care. Users receive multiple bids from doctors, and typically pay up to 80% less than the uninsured rate and 50% less than the insurance-discounted price for procedures.

But patients be warned: Even though doctors include their credentials, you'll still need to do your own research.

Here's how it works: Doctors pay a fee ranging from $50 to $250 per year (depending on their level of activity), submit their medical license information to MediBid and create a profile with their certifications, experience and expertise.

Furthermore, Manulife�� ROE will continue its current upward trend, increasing from 2013�� 10.9% to an average 12% by 2018, accompanied by the steadily expanding net margins of 16.8%. While it will take some time for the company�� growth to accelerate, I feel bullish about management�� optimism regarding its business shift, and see the dividend yield and returns on equity as solid benefits for a long term investment. Moreover, the firm is currently trading at a 10% price discount relative to the industry average of 14.0x, making it a relatively inexpensive buy.

At The Wall Street Journal's WSJD live event, Alibaba's founder and Executive Chairman Jack Ma was asked whether he would consider a partnership between Apple Pay and Alipay, Alibaba's payments company. When asked about such a partnership Apple CEO Tim Cook said, "We are going to talk about getting married later this week," adding, "I have the utmost respect for Jack." It's been just over a week, but Cook says Apple Pay is already a big success. Apple Pay is currently available at 220,000 locations around the country. Cook went on to talk about a wide range of subjects including activist investor Carl Icahn's call for Apple to boost its buyback program. Cook defended Apple's current capital return program, noting that the company bought back $17 billion of stock last quarter alone. "I don't spend a lot of time talking to Carl," Cook said. Apple recently reported quarterly results that beat analyst estimates, selling nearly 40 million iPhones. iPad shipments, however, missed wall street's expectations.     If we give MOVE credit for 14% compounded annual NOPAT growth for 20 years, the stock is worth only $2.50 today. I think MOVE could be a potential acquisition target for a large company like Google (NASDAQ: GOOG) or Facebook (NASDAQ: FB), so adding a generous buy out premium we can put the fair valuation at about $5/share.     CYNK Technology (CYNK), the mysterious over-the-counter stock that at one point broke a $6 billion market cap, dropped roughly 80 percent in its first trades after a Securities and Exchange Commission halt. The SEC halted CYNK for two weeks following a massive rise in the stock's value -- it had been worth only a few cents per share in June, but it jumped above $21 on July 10. The Belize-based CYNK Technology supposedly operates a social networking site, but filings indicate it only has one employee and virtually no assets. Experts told CNBC the week of the SEC halt that they expected CYNK to fall precipitously after reopening, and its first day of trading is proving those predictions correct. When it was halted, the stock was worth just less than $14 per share, and is now below $3 a share after briefly hovering around $5 earlier Friday morning. An OTC Markets spokeswoman told Reuters that CYNK's shares were not trading on its platform, but were occurring over the phone. Earlier this week Reuters reported that OTC's CEO did not expect CYNK to trade on its platform at all after reopening, as no brokerages would file the required paperwork for the stock to trade on their exchanges. An SEC spokesman said that the organization cannot comment on the status of a company after a suspension period ends, citing an online explanation of the process. That document notes that broker-dealers may not solicit investors to trade the previously suspended OTC stock until they satisfy several regulatory requirements. The SEC warned, however, that "unsolicited" trading may occur after a reopening -- as CYNK is now seeing -- but "even though such trading is allowed, it can be very risky for investors without current and reliable information about the company."

McDonald's to end fry rationing in Japan

Starting January 5, all sizes of the crispy side will be back on the menu in Japan.

Earlier this month, the fast food giant was forced to limit orders of fries to small portions at more than 3,000 restaurants in Japan. A labor dispute at ports on the west coast of the United States had delayed exports of fries.

The company has airlifted more fries into Japan to help ease the shortage and added extra shipments from the U.S. East Coast. During the shortage, McDonald's suggested customers add an extra portion of chicken nuggets to their orders and sold them at a special price of 100 yen.

GM Beats Estimates as Pickup Sales Soar

It doesn't always look like it, but General Motors (NYSE: GM  ) is making progress in its long haul back from bankruptcy.

GM said on Tuesday that its U.S. sales were up 6% in June, with all four of its brands posting retail sales gains. That beat analysts' estimates, which called for an average 2.1% gain, according to Bloomberg.

Six percent may not sound like a big gain, and it's likely to have trailed the U.S. market's overall growth for the month. (We'll know for sure in a day or so.) But the numbers behind the headline tell a story that suggests that GM is finally on the right track in its home market.

Strong retail sales should drive profit gains
GM pointed out that its retail sales actually grew 14% in June, likely outpacing the overall market. Executives noted that GM's fleet sales were down because of the timing of deliveries of certain large orders -- they happened to have hit earlier this year than in past years.

Generally, analysts tend to like it when an automaker's fleet sales are down relative to retail sales, as,  generally speaking, retail sales are more profitable. But that's not the whole story: Rival Ford (NYSE: F  ) gets as much as a third of its U.S. sales from "fleet" business -- more than GM -- but its overall profit margins in North America are among the best in the business. What sometimes goes unnoticed is that a lot of Ford's fleet sales are to commercial customers, who are buying high-profit trucks and vans.

Many pickups are bought by businesses like building contractors, who may buy 10 or 20 or more at a time. That's good business to have, better than the low-margin rental car sales that many associate with "fleet" numbers. GM likely has been losing some of that business to Ford, because Ford's F-Series pickups have been more competitive (and more fuel efficient) than GM's outgoing models.

But that could change as GM rolls out its all-new 2014 pickups. Some of those have already reached dealers, and GM U.S. sales chief Kurt McNeil said on Tuesday that they are "turning" very quickly – spending just 10 days on dealer lots, on average. Overall, sales of GM's Chevy Silverado (both old and new versions) were up a very impressive 29% in June.

GM is currently selling a mix of old (2013) and new (2014) pickups, a situation that is likely to continue for several months as GM ramps up production and begins a big marketing push for its all-new trucks. The new trucks will be much more profitable than the outgoing ones. But profits on the 2013s may be better than expected: It's customary to boost discounts on outgoing models, but because of strong industrywide demand, GM hasn't had to do that with its remaining 2013 trucks.

New products driving nice gains, and likely increased profits
There were other signs of progress for GM in June. Like Ford, GM's much-improved small cars saw strong sales as consumers continued to seek out high-quality, fuel-efficient options. The compact Chevy Cruze had its best sales month ever, GM said, and both the subcompact Chevy Sonic and the Chevy Volt hybrid posted strong results.

Sales of the full-sized Impala were roughly flat vs. last year's totals, but that hides a nice success story. Last year's sales were of the outgoing model, a dated car that sold largely to fleets. The new Impala is a much nicer (and much more profitable) product, and GM has emphasized retail sales with success: Retail sales of the Impala were up 62% over last June's totals.

GM is also seeing more and more success with its Cadillac and Buick brands, as more of its much-improved new products hit dealers and gather steam in the marketplace. That's a story we're likely to be hearing again and again over the next year and a half, as GM's long-awaited new-product offensive has now shifted into high gear -- and GM's bottom line should show the results over the next few quarters.

    Another under-$10 health care player that's starting to move within range of triggering a major breakout trade is Medical Action Industries (MDCI), which develops, manufactures, markets and supplies a variety of disposable medical products. This stock has been on fire so far in 2013, with shares up sharply by 129%.

    If you take a look at the chart for Medical Action Industries, you'll notice that this stock has been trending sideways and consolidating for the last month and change, with shares moving between $5.84 on the downside and $6.76 on the upside. Shares of MDCI are now starting to spike higher right off its 50-day moving average of $6.09 a share, and it's quickly moving within range of triggering a major breakout trade above the upper-end of its sideways trading chart pattern.

    Market players should now look for long-biased trades in MDCI if it manages to break out above its 200-day moving average at $6.67 a share and then once it takes out some more key overhead resistance levels at $6.76 to $7.13 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 98,989 shares. If that breakout hits soon, then MDCI will set up to re-test or possibly take out its next major overhead resistance levels at $9.50 to $10 a share.

    Traders can look to buy MDCI off any weakness to anticipate that breakout and simply use a stop that sits right below some key near-term support levels a $5.84 to $5.50 a share. One can also buy MDCI off strength once it clears those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

However, the revenue of the publisher of Travel + Leisure and Food & Wine is too insignificant to affect Time Inc.’s sales by any meaningful measure. Time Inc. has limited options if it wishes to make a large purchase within its own industry. Early this year, publisher Meredith Corp. (NYSE: MDP) had talks with Time Warner about buying most of Time Inc. Time Inc.’s management may have considered buying Meredith, but the market cap of the publisher of women’s magazines, which also holds broadcast properties, is $2.29 billion. Time Inc. would need to offer a large premium to the current share price to convince Meredith’s board that such a deal would be fair for shareholders. And Time Inc. is unlikely to gamble that sum of money to improve its revenue moderately. Alternatively, Time Inc. could try to buy Meredith’s magazine assets.

    Alamy There are plenty of stocks going up -- and down -- in any given week. The gainers inspire us to keep investing. The decliners keep greed in check while reminding us about the risks of the equity markets. Let's go over some of last week's best and worst performers. Pike (PIKE) -- Up 49 percent last week The market's biggest winner of last week was Pike, a specialty construction and engineering firm that received a bid to be taken private. J. Eric Pike -- the firm's chairman and CEO -- is teaming up with private equity firm Court Square Capital Partners to buy out shareholders at $12 a share. It's a fair premium, pricing the buyout at a better than 50 percent premium to where the stock was trading when it was announced. A few attorneys are trying to smoke out investors who feel that the CEO-led privatization push isn't fair, but it's likely to stick at that kind of healthy markup. Pike shares may have traded in the low teens last summer, but that was before revenue and earnings began heading the wrong way. Most shareholders should be more than happy to take the money and run. RadNet (RDNT) -- Up 34 percent last week Operating a network of 251 facilities that perform outpatient diagnostic imaging services is looking good for RadNet. The stock moved sharply higher after a strong quarterly report. Revenue inched slighting higher as MRI and CT scan volume increased modestly during the period. However, the real star in the report was RadNet's bottom line. Its cost-cutting and debt-slashing efforts paid off with net income soaring to $0.12 a share after clocking in at a $0.07 a share a year earlier. Analysts were only holding out for $0.05 a share. RadNet also helped improve its standing by boosting its guidance for all of 2014. You don't need any of RadNet's fancy imaging equipment to see that that's a healthy sign.
